Welcome to ReviewSeal. These Terms of Service (the "Terms") form a binding agreement between you and ReviewSeal ("ReviewSeal," "we," "us" or "our") covering your use of our review automation software, website and related services (together, the "Service"). If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business.
01Acceptance of terms
By creating an account, starting a free trial, or otherwise accessing or using the Service, you acknowledge that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Service.
We may update these Terms from time to time as described in Section 14. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
02The service
ReviewSeal helps local and home-service businesses collect, manage and respond to online customer reviews. Depending on your plan, the Service may include automated review requests, SMS and email follow-ups, AI-assisted review replies, missed-call text-back, a reputation dashboard, a review widget and a hosted website.
We continuously improve the Service and may add, modify or remove features over time. We will not materially reduce the core functionality of a paid plan during a billing period without notice.
03Accounts & eligibility
To use the Service you must be at least 18 years old and capable of forming a binding contract. You agree to provide accurate, current and complete information when registering and to keep it up to date.
- You are responsible for safeguarding your account credentials and for all activity under your account.
- You must notify us promptly at [email protected] of any unauthorized use or security breach.
- You may not share, sell or transfer your account without our written consent.
04Plans & billing
Paid plans are billed in advance on a recurring monthly basis unless stated otherwise. By providing a payment method, you authorize us (and our payment processor) to charge the applicable fees, including taxes, to that method on each renewal date.
Renewals and cancellation
Plans are month-to-month and renew automatically until cancelled. You may cancel at any time from your account or by contacting us; cancellation takes effect at the end of the current billing period. You will retain access until then.
Refunds and price changes
Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods. We may change our prices with at least 30 days' notice before the change applies to your next renewal.
Failed payments. If a charge fails, we may retry it and may suspend or limit your access until the balance is paid. Extended non-payment may result in termination under Section 13.
05Free trial
We may offer a free trial for a limited time. Unless you cancel before the trial ends, your plan will automatically convert to a paid subscription and your payment method will be charged the then-current fee. We reserve the right to modify or end trial offers at any time.
06Acceptable use
You agree to use the Service only for lawful purposes and in compliance with these Terms and all applicable laws. You must not:
- Send messages to individuals who have not consented to be contacted, or in violation of anti-spam, telemarketing or messaging laws (including CAN-SPAM, CASL and TCPA where applicable).
- Upload contact data you do not have the right to use, or that was obtained unlawfully.
- Use the Service to harass, defraud, or mislead any person.
- Interfere with, disrupt, reverse-engineer, or attempt to gain unauthorized access to the Service or its systems.
- Resell or provide the Service to third parties except as expressly permitted.
You are solely responsible for obtaining any consents required to contact your customers through the Service.
07Reviews & platform compliance
ReviewSeal is designed to help you request honest reviews from real customers you have actually served. You agree to use it only for that purpose.
- You may not use the Service to solicit, incentivize, buy, fabricate or filter reviews in violation of Google's or any other platform's policies.
- You are responsible for complying with the terms and review policies of Google and any other platform you connect.
- We do not guarantee that any review will be posted, remain published, or improve your search ranking, as those outcomes are controlled by third-party platforms.
Compliance first. If we believe your use violates a platform's policies or these Terms, we may pause or terminate the relevant features to protect your business and ours.
08Your data & content
You retain all rights to the customer lists, business information and other content you provide ("Your Data"). You grant ReviewSeal a limited, non-exclusive license to use, process and store Your Data solely to provide and improve the Service.
You represent that you have all rights and consents necessary to provide Your Data and to allow us to process it as described. Our handling of personal information is described in our Privacy Policy.
09Intellectual property
The Service, including its software, design, branding and content (excluding Your Data), is owned by ReviewSeal and protected by intellectual-property laws. We grant you a limited, non-transferable, non-exclusive right to use the Service during your subscription. All rights not expressly granted are reserved.
Any feedback or suggestions you share with us may be used without restriction or obligation to you.
10Third-party services
The Service integrates with third-party platforms such as Google, CRM and invoicing tools, and messaging and payment providers. Your use of those services is governed by their own terms, and we are not responsible for their availability, performance or actions. Connecting a third-party service authorizes us to exchange data with it as needed to provide the Service.
11Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or that it will produce any particular business result, ranking or number of reviews.
12Limitation of liability
To the maximum extent permitted by law, ReviewSeal and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to your use of the Service.
Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.
13Termination
You may stop using the Service and cancel your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to others, to the platforms we integrate with, or to us.
Upon termination, your right to use the Service ends. Sections that by their nature should survive — including data ownership, intellectual property, disclaimers, limitation of liability and governing law — will continue to apply.
14Changes to these terms
We may revise these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by email or through the Service. The "Last updated" date at the top reflects the most recent version. By continuing to use the Service after changes take effect, you agree to the updated Terms.
15Governing law
These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in Ontario for any dispute that is not subject to arbitration or small-claims resolution.
